Terms of Service.

Welcome to Tawezy. Tawezy is operated by Value Media Marketing LLC (“Tawezy,” “we,” “us”). By accessing or using our platform at tawezy.com, you agree to be bound by these Terms of Service. Please read them carefully.

Please note: These Terms include a binding arbitration agreement and a class-action waiver (Section 17), which affect how disputes between you and Tawezy are resolved.

1. About Tawezy — a venue, not a party

Tawezy is a neutral venue and a set of tools that lets project owners and collaborators discover one another, communicate, negotiate and renegotiate their own deal terms, and reach — or decline to reach — their own agreements. Our role is limited to providing this technology.

We are not a party to any agreement between users, and we are not an agent, broker, dealer, employer, partner, joint venturer, escrow agent, fiduciary, or legal, tax, or financial adviser of any user. We do not set, endorse, negotiate, guarantee, supervise, or enforce any deal terms. Any agreement that results from using Tawezy is solely between the users involved.

2. Eligibility

You must be at least 18 years old to use Tawezy. By using our platform, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Identity Verification

Why we require it. Tawezy is a platform where users negotiate deals, sign collaboration agreements, and exchange payments. Because these activities carry legal and financial consequence, we require every user to complete a one-time identity verification before posting a project, applying to an opportunity, or messaging another user. The purpose of this verification is to confirm that you are a real person who is at least 18 years of age, legally capable of entering into binding contracts and financial transactions, and not using a fraudulent identity.

Powered by Didit. Identity verification on Tawezy is performed by Didit (didit.me), a third-party KYC (Know Your Customer) and identity-verification service. When you initiate verification, you are redirected to Didit’s secure hosted flow. All document capture, selfie matching, liveness detection, age extraction, and identity analysis is conducted within Didit’s systems and is subject to Didit’s Privacy Policy and Terms of Service. Tawezy does not see, receive, or store your raw identity documents or biometric images.

How your documents are stored and who can access them. Your government-issued identity documents, selfie images, and any associated biometric data are submitted directly to and processed by Didit on Didit’s infrastructure — they are not stored on Tawezy’s servers. Tawezy receives only a verification outcome (verified or not verified), your date of birth, and your approximate age from Didit, and stores these solely to enforce the 18+ eligibility requirement. You should review Didit’s Privacy Policy for full details on how Didit handles, retains, and protects your personal and biometric data.

Fraud prevention. In addition to age verification, Didit’s technology performs document authenticity checks, liveness detection, and identity cross-referencing to help prevent fraudulent accounts on the platform. Tawezy uses these signals to protect users from bad actors. We do not use verification data for advertising, profiling, or any purpose other than platform safety and eligibility enforcement.

Age verification only — limited data use. We use the date-of-birth result returned by Didit solely to confirm that you are 18 or older. We do not sell, share, or disclose your verification data to third parties except as required by law or as necessary to respond to a valid legal process. The 18-year minimum exists because:

Verification is a platform eligibility requirement, not legal advice. A successful verification confirms only that Didit’s system was satisfied with the documents you submitted and that you appear to be 18 or older. It does not constitute legal advice, does not guarantee your legal capacity in any particular jurisdiction, and does not make Tawezy a party to, or guarantor of, any agreement you enter into on the platform.

Misrepresentation. If you submit fraudulent, altered, or another person’s identity documents, or if Tawezy otherwise determines that you misrepresented your age or identity, we may immediately suspend or terminate your account, reverse any pending actions taken under your account, and report the activity to law enforcement or regulatory authorities as required by law. You agree to indemnify and hold Tawezy harmless from any claims, losses, or liability arising from your misrepresentation.

Declined verification. If your verification is not completed or is declined by Didit, you will not be able to post projects, apply to opportunities, or send messages on Tawezy until verification is successfully completed. Tawezy is not responsible for Didit’s verification decisions, and disputes about those decisions must be directed to Didit at didit.me.

4. User accounts

You are responsible for maintaining the security of your account and all activity that occurs under it. You agree to notify us immediately of any unauthorized access to your account. Tawezy is not liable for any loss resulting from unauthorized use of your account.

Account suspension and termination. Tawezy may suspend or permanently terminate your account at any time, with or without prior notice, if we reasonably believe you have violated these Terms, submitted false or fraudulent identity documents, engaged in deceptive or harmful conduct toward other users, or otherwise threatened the integrity or safety of the platform. Upon termination: (a) your access to the platform ceases immediately; (b) your project listings are removed; (c) any active Boosts are ended without refund, except where required by law; (d) collaboration agreements already signed between users remain in effect as private agreements solely between those users and are not affected by termination of your Tawezy account; and (e) your obligations under these Terms that by their nature should survive — including Sections 7, 10, 14, 15, and 16 — remain in effect. You may close your own account at any time by contacting us at hello@tawezy.com.

5. Projects and collaborations

When you post a project or apply to collaborate on Tawezy:

You are solely responsible for vetting the other party and for negotiating, documenting, performing, and enforcing your own arrangement, as well as for its legality, tax treatment, intellectual-property ownership, and regulatory compliance. We recommend you obtain your own independent legal, tax, and financial advice before entering into any arrangement.

Offers and negotiations are non-binding. Applications, messages, counter-offers, and any other pre-contract communications on Tawezy are expressions of interest only and are not legally binding on any party. An arrangement becomes binding only when both the project owner and the collaborator have each signed the Collaboration Agreement generated on the platform.

AI Contract Generator — Important Disclaimer. Tawezy provides an AI-powered Collaboration Agreement generator as a convenience tool only. Tawezy is NOT a law firm and does not provide legal advice or legal services. Generated agreements are produced by an AI model and may be generic, incomplete, inaccurate, or jurisdictionally inappropriate. They do not account for your specific facts, applicable laws, tax implications, securities regulations (if equity is involved), employment classification, data privacy, or other legal requirements.

By using the Contract Generator and/or signing any generated agreement, you acknowledge and agree that:

  • You have had a full and fair opportunity to consult — and are strongly encouraged to consult — your own independent legal counsel licensed in the relevant jurisdiction(s) before signing or relying on any generated document.
  • You use the generator and any output entirely at your own risk.
  • Tawezy makes no warranties or representations (express or implied) regarding the accuracy, completeness, enforceability, merchantability, fitness for a particular purpose, or non-infringement of any generated agreement.
  • To the maximum extent permitted by law, Tawezy, its officers, directors, employees, agents, affiliates, and service providers have zero liability arising from: (a) your use of the generator or any generated document; (b) any collaboration agreement or other user agreement; (c) any dispute between users or with third parties; or (d) any feature or output of the platform.
  • You release and forever waive any claims against Tawezy and its related parties related to the above.

This disclaimer is incorporated into and forms part of these Terms. If you do not agree, do not use the generator or sign any generated agreements. For equity, royalty, revenue-share, or high-value arrangements, independent legal review is especially important given the potential involvement of securities laws, tax obligations, and regulatory requirements.

6. Payments and funds

Payments are processed by our third-party payment processor, Stripe, subject to Stripe’s own terms. With respect to payments between users — including any delayed, milestone-based, or scheduled payments:

Payments between users are processed by Stripe, which charges its own processing fees that are outside Tawezy’s control. Tawezy does not charge any fee on payments between users. Tawezy charges only for its own optional services — for example, promotional Boosts (and any subscription features we may offer). Any Tawezy fees are disclosed before you incur them. You are responsible for all taxes arising from your transactions and for complying with Stripe’s terms.

7. Equity, royalty, revenue share, and similar arrangements

Some arrangements on Tawezy involve equity, ownership interests, profit or revenue shares, royalties, or recurring revenue-share agreements. Such arrangements may be governed by securities and other laws and may constitute securities. As between you and Tawezy, the users alone are responsible for the legality, structuring, documentation, disclosure, registration (or exemption), and compliance of any such arrangement. Tawezy is not a broker-dealer, funding portal, securities intermediary, issuer, or investment adviser, and does not facilitate the offer or sale of securities. You should obtain your own qualified legal, tax, and financial advice before entering into any equity, royalty, revenue share, or similar arrangement.

8. Boosts

Tawezy offers paid “Boost” features that increase the placement or visibility of a project listing for a selected duration within a category. A Boost purchases placement and duration only — it is not a guarantee of any views, impressions, clicks, engagement, matches, collaborators, funding, or other outcome. Placement is subject to availability, rotation, category limits, and other users’ activity, and we may adjust, reorder, pause, or remove placements. Boosts are non-refundable once active, except where a refund is required by applicable law.

Eligibility. Boosts exist solely to help project owners find qualified collaborators faster. A project is only eligible for a Boost while it does not yet have a fully signed collaboration contract — meaning both the project owner and the collaborator have signed the agreement on Tawezy. If a signed contract exists at the time of purchase, the Boost will be blocked before payment is processed and no charge will be made. If both parties sign a contract while a Boost is already active, the Boost will end immediately and automatically at that moment. Because the Boost served its purpose (connecting you with a collaborator), no refund is issued for any unused time, except where required by applicable law. Applicants and pending or unsigned contracts do not affect Boost eligibility.

9. Subscriptions and recurring billing

Tawezy offers optional paid subscription plans (for example, “Pro”). Subscriptions are a service of Value Media Marketing LLC and are processed by Stripe; they are separate from any payments between users. By starting a subscription, you authorize us and Stripe to charge your payment method on a recurring basis — monthly or annually, according to the plan and billing interval you select — until you cancel.

Automatic renewal. Your subscription automatically renews at the end of each billing period at the then-current price, and your payment method is charged for the next period, unless you cancel before the renewal date.

Cancellation. You may cancel at any time from your account’s billing settings. Cancellation takes effect at the end of the current billing period; you keep access to paid features until then. We do not provide refunds or credits for partial billing periods, unused time, or unused included benefits, except where required by applicable law.

Included benefits. A subscription may include benefits such as boost credits granted each billing period. Unless stated otherwise, included boost credits have no cash value, are non-refundable, and may expire; the current benefits and their terms are shown when you subscribe.

Price changes. We may change subscription prices or benefits. We will give reasonable advance notice of any price increase, which will take effect on your next renewal; continuing your subscription after the change takes effect constitutes acceptance of the new price.

Failed payments. If a charge fails, we may retry the charge, suspend or downgrade your paid features, or cancel the subscription. You are responsible for keeping a valid payment method on file and for all applicable taxes.

10. Assumption of risk

You use Tawezy and enter into arrangements with other users at your own risk. Your interactions and dealings with other users are solely between you and those users, and you assume all risk arising from them.

You retain ownership of all content and projects you post on Tawezy. By posting content, you grant Tawezy a limited license to display and share that content as necessary to operate the platform. Tawezy's own content, branding, and technology remain our intellectual property.

13. Third-party services

Tawezy integrates third-party services to deliver core platform functionality, including Stripe (payment processing and connected accounts), Didit (identity verification), Netlify (hosting), and Supabase (infrastructure and database). Your use of these services is subject to their respective terms of service and privacy policies, which are independent of Tawezy’s. Tawezy is not responsible for the availability, performance, accuracy, security, or decisions of any third-party service, including payment processing failures or delays, identity verification outcomes, or data handling by those providers. We recommend reviewing the terms and privacy policies of each service you interact with through the platform.

Modification and discontinuation. Tawezy reserves the right to modify, limit, suspend, or permanently discontinue any feature, service, pricing, or the platform as a whole at any time, with or without notice. We will make reasonable efforts to notify users of significant changes, but we are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the platform or any feature.

14. Disclaimers

Tawezy is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the platform will be uninterrupted, secure, or error-free, that any collaboration will be reached or successful, or that any particular financial outcome will be achieved.

15. Limitation of liability

To the fullest extent permitted by law, Tawezy will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising from or relating to the platform, any collaboration, any payment or non-payment between users, any equity, royalty, or revenue-share arrangement, or any Boost.

Tawezy’s total aggregate liability for all claims relating to the platform will not exceed the greater of (a) the total fees you paid Tawezy in the six (6) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so portions may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tawezy and Value Media Marketing LLC and their members, managers, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

This indemnification obligation survives termination of your account and these Terms. Tawezy reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Tawezy’s defense.

17. Binding arbitration; class-action waiver; jury waiver

18. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 17.

19. Severability and survival

If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force. Sections 1, 6–19, and 21 survive termination of your account or these Terms.

20. Changes to terms

We may update these Terms of Service from time to time. Continued use of Tawezy after changes take effect constitutes acceptance of the updated terms. We will notify you of significant changes by email.
